The terms governing your use of DCL Today OS

Introduction
These Terms & Conditions ("Terms") govern your use of DCL Today OS and related services provided by DCL ("DCL", "we", "our", "us").
By creating an account, subscribing to a DCL Today OS plan, accessing the platform or using our services, you agree to these Terms.
If you do not agree to these Terms, you should not use DCL Today OS.
1.About DCL Today OS
DCL Today OS is a business operating system designed to bring business management, operations, customers, tasks, finance, HR, marketing, analytics and other business functions together in one platform.
Features available to you depend on your subscription plan, account status, business configuration and applicable entitlements.
2.Eligibility and Account Creation
You must provide accurate information when creating an account.
You are responsible for:
- Maintaining accurate account information
- Keeping your login credentials secure
- Preventing unauthorised access to your account
- Ensuring that individuals using your account are authorised
- Ensuring that information entered into the platform is accurate and lawful
You must notify DCL if you become aware of unauthorised access to your account.
3.Business Accounts and Users
DCL Today OS may allow businesses to create accounts and invite team members.
The account owner or authorised administrator is responsible for managing users and permissions within their business.
You must ensure that team members have appropriate access rights.
You must not attempt to access another business's information or bypass security or access controls.
4.Subscriptions and Plans
DCL Today OS may offer different subscription plans.
Current catalogue pricing is:
- Free: £0 per month
- Starter: £19 per month
- Growth: £49 per month
- Elite: £99 per month
Features and usage allowances differ by plan.
DCL may change plan features, limits or catalogue pricing from time to time.
Any changes to an existing paid subscription will be handled in accordance with applicable contractual and consumer requirements.
5.Billing and Payment
Paid subscriptions are generally billed in advance according to the billing frequency selected at checkout.
Payments may be processed through Stripe or another authorised payment provider.
You authorise the applicable payment provider to charge the payment method associated with your subscription.
If a payment fails, access to paid features may be restricted or suspended until the payment issue is resolved.
6.Cancellation
You may cancel a subscription through the available account or billing controls.
Where a subscription is cancelled, access to paid features may continue until the end of the applicable paid billing period unless otherwise stated.
Cancellation does not automatically remove obligations that arose before cancellation.
7.Refunds
Any refunds will be handled in accordance with the applicable subscription terms, payment arrangements and applicable law.
Where a specific refund or satisfaction guarantee applies to a particular service or promotion, the terms of that offer will apply.
8.Free Plan
DCL Today OS may provide a free plan.
The free plan may include limited functionality, usage allowances and features.
DCL may modify the functionality or limits of the free plan where reasonably necessary.
9.Acceptable Use
You agree not to:
- Use DCL Today OS for unlawful purposes
- Attempt to gain unauthorised access to another account or business
- Circumvent security controls
- Interfere with the operation of the platform
- Upload malicious software
- Attempt to reverse engineer the platform except where permitted by law
- Abuse automated systems
- Use the service to distribute unlawful or harmful content
- Infringe intellectual property rights
- Use the service to commit fraud
- Use another person's account without authorisation
- Attempt to obtain data belonging to another customer
DCL may suspend or restrict access where necessary to protect the platform, users or third parties.
10.Your Content and Data
You retain responsibility for the business information, documents, customer data, employee data and other content that you enter into DCL Today OS.
You confirm that you have the necessary rights and permissions to provide such information.
You grant DCL the limited rights necessary to host, process, transmit and display your content for the purpose of providing the services.
DCL will handle personal information in accordance with its Privacy Policy.
11.AI and Ivy
DCL Today OS includes Ivy, an AI-assisted business support system.
Ivy may assist with tasks including:
- Business questions
- Content generation
- Marketing
- Customer management
- Business intelligence
- Business health information
- Tasks
- HR workflows
- Communications
- Other supported business operations
AI-generated outputs may contain errors or omissions.
You are responsible for reviewing information before relying on it.
You should not rely exclusively on Ivy for legal, tax, accounting, employment, financial, medical or other professional decisions where qualified professional advice is required.
Where Ivy proposes an action, the platform may require user approval before the action is carried out.
12.Social Media Integrations
DCL Today OS may allow users to connect supported social media accounts.
You are responsible for ensuring that you have authority to connect and publish through those accounts.
Social platforms operate under their own terms, policies and privacy practices.
DCL is not responsible for changes made by third-party social platforms that affect integration functionality.
13.Third-Party Services
DCL Today OS may integrate with third-party services.
Third-party services may include:
- Payment providers
- Authentication providers
- AI providers
- Email providers
- Social media platforms
- Cloud infrastructure
- Analytics and security providers
Third-party services may have their own terms and policies.
14.Intellectual Property
DCL Today OS, including its software, interface, branding, designs, documentation and underlying technology, belongs to DCL or its licensors unless otherwise stated.
You may use the platform only for its intended business purpose and in accordance with these Terms.
You must not copy, reproduce, resell, redistribute, reverse engineer or commercially exploit DCL Today OS except where expressly permitted by DCL or applicable law.
15.Your Business Materials
You retain ownership of materials and information that you upload or provide to DCL Today OS, subject to the rights necessary for DCL to provide the service.
DCL does not claim ownership of your underlying business data merely because you store it within the platform.
16.Confidentiality
Each party should take reasonable steps to protect confidential information received from the other party.
Confidential information should not be disclosed except where:

- Disclosed to authorised professional advisers or service providers
- Otherwise authorised by the relevant party
17.Service Availability
DCL aims to maintain reliable availability of DCL Today OS.
However, uninterrupted availability cannot be guaranteed.

- Third-party service outages
- Internet or infrastructure failures
- Events outside DCL's reasonable control
18.Business Decisions and Professional Advice
DCL Today OS provides software and business support functionality.
Information generated by the platform, including AI-generated information, should not automatically be treated as professional legal, tax, accounting, financial, employment or other regulated advice.
You remain responsible for your business decisions.
Where professional advice is required, you should consult an appropriately qualified professional.
19.Limitation of Liability
To the extent permitted by law, DCL will not be responsible for indirect, incidental, special or consequential losses arising from use of the service.
This may include loss of:
- Profits
- Revenue
- Business opportunity
- Reputation
- Data, where such liability is lawfully excludable
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
20.Suspension and Termination
DCL may suspend or terminate access where:
- Payment obligations are not met
- There is a serious breach of these Terms
- The account is used unlawfully
- The platform is being abused
- Suspension is necessary for security
- Continued provision would create a legal or regulatory issue
Where reasonably appropriate, DCL may provide notice before suspension or termination.
21.Changes to the Service
DCL may modify, improve, replace or discontinue features from time to time.
Where a material change substantially affects a paid service, DCL will seek to communicate the change where reasonably appropriate.
22.Changes to These Terms
DCL may update these Terms from time to time.
The latest version will be published on this page with an updated date.
Continued use of the service following an applicable update may constitute acceptance of the updated Terms where permitted by law.
23.Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes will be subject to the applicable courts of England and Wales, unless applicable law provides otherwise.
